Terms of Service
These are the terms on which you may use this server. Please read them before you create an account.

1. About these terms
This is a Studio Umbra server: a chat front end for AI models, with agents and tools, image, 3D, voice, photo and video tools, project planning, and a Discord-style chat called Shade. It is run by the operator of this Studio Umbra server ("we", "us", "the operator"). Studio Umbra is software that anyone can host, so we are the person you are dealing with here, not the authors of the software.
By creating an account, or by using the site after signing in, you agree to these Terms of Service together with our User Agreement, Privacy Policy and Cookie Policy. If you do not agree, do not create an account and do not use the site. Where the documents disagree, these Terms come first, then the User Agreement.
2. Who may use it
- You must be at least 18 years old, and old enough in your country to enter into a contract.
- If you use it on behalf of an organisation, you confirm you may bind that organisation to these terms.
- You must not use it if you have been banned from it, or if the law where you live forbids you to.
3. Your account
- An account is made with an email address and a password, and may add passkeys, two-factor sign-in and personal access tokens.
- Keep your credentials and tokens to yourself. You are responsible for what is done with your account until you tell us it has been compromised.
- Give an email address that is yours, and keep it current. We may refuse an address that is banned or belongs to someone else.
- One person, one account. Do not share an account, and do not open another one to get around a suspension or a ban.
4. What you can open
The site is divided into sections, and a role decides which of them you may open. A new account starts as a Guest, who can reach Shade and the Umbra Arcade and nothing else. An administrator may change your role, or add or remove access to a single section, at any time. Having a role, including one named after supporters or testers, is not a promise that a feature will stay, work, or be available to you tomorrow.
5. The service, as it is
- It is run by an individual or a small team, on their own equipment. It can be slow, change, or stop, with or without notice. We do not guarantee that it will be available, fast, or free of faults.
- AI output can be wrong. Models invent facts, misread pictures, write code that does not work, and can produce content that is offensive or inaccurate. Check anything that matters before you rely on it. Do not use the site as your only source for medical, legal, financial, safety or other decisions that could harm someone.
- Agents and tools act on your behalf. They can read and write files and run commands within the limits the operator has set. You are responsible for what you ask them to do and for the actions you approve. See the User Agreement.
- Things outside our control. Models, search, speech and image servers may be run by other people and can change or fail independently.
- We may add, change, limit or remove any feature, role, model or limit, including to protect the server or to keep it affordable.
6. Your content
You keep ownership of what you put in: your messages, prompts, uploads, notes, boards, and the files you make with the tools. You give us permission to store it, process it, and show it to the people you share it with, and to send it to the models, tools and servers the site uses to do what you asked, for as long as it is on the site and only to run, secure and improve this service. That permission ends when you delete the content, except for copies that others in a shared space already hold, and for backups, which expire in the ordinary course.
You promise that you have the right to upload and share what you add, and that doing so does not break the law or anyone's rights. Where the law gives you a share in something an AI made for you, we claim none of it, but we cannot promise that any such rights exist, or that what a model produces is free of someone else's.
7. Acceptable use
The User Agreement sets out the rules in full. In short, you must not:
- break the law, or use the site to harm, harass, threaten or defraud anyone;
- attack, overload, probe or try to get around the limits, permissions and security of the server or of anyone else's account;
- scrape it, resell access to it, or use it to build something that competes with it, without our written agreement;
- use it to make or share content the User Agreement prohibits.
8. Suspension, bans and ending your account
We may warn you, remove content, suspend your account until a date, or ban it, if we think you have broken these documents, put the server or other people at risk, or if the law or a court requires. A ban can extend to an email address, an internet address or range, or, on our own network, a device. We do not always have to say which one or why, because explaining it can help someone work around it. If you think we made a mistake, contact us and we will look again, but the decision is ours.
You can stop at any time. Account → Delete Personal Data removes your account and, if you choose, what you made. What happens to your data is set out in the Privacy Policy. Parts of these terms that are meant to outlast your account, such as the limits on our liability, do.
9. Fees and donations
Unless we tell you otherwise in writing, using the site costs nothing and nothing here is a paid subscription. If you support the server and are given a role for it, that is a thank-you and not a purchase of a particular level of service, and we are not obliged to refund it.
10. Other people's services and links
The site shows or talks to services we do not control, among them the model providers behind a conversation, search engines, push services from your browser's maker, and the Umbra Arcade game hub, which opens inside the site but is a separate service and may have its own rules. Links that people post go to sites we do not control. We are not responsible for them, and your use of them is under their terms.
11. Our rights in the site
The software, the design of the site and anything we publish on it belong to us or to the people who license them to us. These terms let you use the site as it is meant to be used, and give you no other right in it.
12. No warranty
To the fullest extent the law allows, the site is provided "as is" and "as available", without any promise, express or implied, that it is fit for a purpose, accurate, secure, uninterrupted, or free of errors or harmful code. Your rights under consumer law where you live, if you have any that cannot be excluded, are not affected.
13. Limits on our liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, for fraud, or for anything a consumer protection law says cannot be excluded. Subject to that, and to the extent the law allows:
- we are not liable for any indirect or consequential loss, loss of profit, revenue, data, goodwill or opportunity, or for anything an AI produced or an agent did at your request; and
- our total liability to you for everything that arises out of your use of the site is limited to what you paid us for it in the twelve months before the claim, which, if you paid nothing, is nothing.
To the extent the law allows, you will cover our reasonable losses from a claim by someone else that arises from your breach of these documents or from what you put on or did with the site.
14. Changes to these documents
We may change these documents. The date at the top of each shows when it last changed. For a change that matters, we will make it plain on the site or ask you to accept it again. If you keep using the site after a change takes effect, you accept it. If you do not, stop using the site and delete your account.
15. Law and disputes
These terms, and any dispute about them or the site, are governed by the law of the place where we are based, and its courts have jurisdiction, except that if you are a consumer you keep the protection of the mandatory law of the country where you live and may bring a claim in its courts.
Before you start a claim, please contact us and give us a fair chance to put it right.
16. General
- These documents are the whole agreement between you and us about the site and replace anything earlier.
- If a part of them is found unenforceable, the rest stays in force.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer your account or your rights under these terms. We may transfer ours to whoever takes over running the server.
- Nobody who is not a party to these terms can enforce them.
